MedicoTalent — Terms of Use

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of MedicoTalent, including the website, mobile application, job board, employer tools, candidate tools, dashboards, forms, content, communications, and related services (collectively, the “Platform”).

The Platform is owned and operated by Griffin Consulting Services Inc., a corporation incorporated under the laws of Canada (“Griffin Consulting,” “Company,” “we,” “us,” or “our”).

By accessing, browsing, registering with, or using the Platform in any manner, you confirm that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must stop using the Platform.

2. Eligibility

You may use the Platform only if:

You are at least eighteen (18) years of age;

You have the legal capacity to enter into these Terms;

You will use the Platform in compliance with applicable laws; and

If you are using the Platform on behalf of an employer, recruitment agency, healthcare institution, company, or other organisation, you are authorised to bind that organisation to these Terms.

We may refuse access, suspend accounts, remove content, or restrict use of the Platform where we believe these Terms or applicable laws have been violated.

3. Nature of the Platform

MedicoTalent operates primarily as an online healthcare job board and employment marketplace. The Platform enables healthcare employers, recruiters, hiring organisations, and job seekers to discover opportunities, publish job-related information, search for roles, apply to jobs, and access recruitment-related services.

Certain recruitment-related services, where separately agreed in writing, may be provided by Griffin Consulting Services Inc. under its applicable recruitment licence.

Unless expressly agreed otherwise in writing, MedicoTalent does not act as the employer of any candidate and does not guarantee:

Job offers;

Interview invitations;

Employer responses;

Candidate suitability;

Hiring decisions;

Visa approvals;

Credential recognition;

Immigration outcomes;

Licensing outcomes; or

Employment outcomes.

All employment-related decisions are made by the relevant employer, hiring organisation, recruiter, candidate, regulator, immigration authority, or other responsible party.

4. Mobile Application

The MedicoTalent mobile application is a candidate-facing extension of the MedicoTalent job board.

The app may allow users to:

Browse healthcare job listings;

Search jobs by category, location, role, or keyword;

Save jobs locally on their device;

Access MedicoTalent job pages;

Open application links;

Access contact, support, pricing, employer, legal, or information pages; and

Receive app updates or notifications, where enabled.

In the current version of the mobile app, job applications may open on MedicoTalent.com or another approved webpage. The app may redirect users to external web pages to apply for jobs, contact MedicoTalent, view pricing, access support, or read legal documents.

The mobile app may depend on third-party app stores, mobile operating systems, internet access, browser functionality, and external service providers. We do not guarantee uninterrupted app availability, compatibility with every device, or continuous access to every feature.

5. Account Registration and Security

Certain Platform features may require account registration. You agree to provide accurate, complete, and current information when creating or updating an account.

You are responsible for:

Maintaining the confidentiality of your login credentials;

All activity under your account;

Ensuring your information remains accurate and up to date; and

Notifying us if you believe your account has been accessed without authorisation.

We may suspend, restrict, or terminate accounts where we believe an account is inaccurate, misused, inactive, fraudulent, unlawful, or in breach of these Terms.

6. Job Seeker Responsibilities

If you use the Platform as a job seeker, candidate, healthcare professional, student, applicant, or similar user, you are responsible for ensuring that the information you submit is accurate, lawful, and not misleading.

You agree that:

Your resume, profile, qualifications, licences, registrations, work history, and contact details must be accurate;

You will not submit false credentials, fake documents, misleading experience, or inaccurate identity information;

You will not impersonate another person;

You will not misuse employer contact information;

You will independently verify job opportunities, employers, job offers, visa requirements, and regulatory requirements before acting on them; and

Submitting an application does not guarantee an interview, response, offer, employment, visa, licence, or relocation outcome.

Healthcare professionals are responsible for complying with all applicable professional, licensing, registration, immigration, employment, and ethical requirements in the country, province, state, or jurisdiction where they work or intend to work.

7. Employer and Recruiter Responsibilities

If you use the Platform as an employer, recruiter, agency, hospital, clinic, care home, healthcare institution, staffing organisation, or hiring representative, you are responsible for ensuring that all information you submit is accurate, lawful, and not misleading.

You agree that:

Job postings must be genuine, current, lawful, and non-discriminatory;

Job titles, salary details, locations, duties, requirements, qualifications, and benefits must be accurate;

You will comply with applicable employment, labour, immigration, recruitment, licensing, healthcare, anti-discrimination, privacy, and data protection laws;

You will not post fake jobs, misleading opportunities, unlawful fee-charging schemes, or fraudulent recruitment offers;

You will not misuse candidate data;

You will only contact candidates for legitimate recruitment or employment purposes;

You will conduct your own interviews, checks, credential verification, reference checks, licensing review, background checks, and hiring decisions; and

You will not represent yourself as MedicoTalent unless expressly authorised in writing.

We may edit, reject, suspend, remove, or refuse job postings at our discretion, including where a posting appears inaccurate, misleading, unlawful, expired, discriminatory, suspicious, low quality, or inconsistent with the purpose of the Platform.

8. Job Seeker Safety and No-Fee Warning

Candidates should be cautious of any employer, recruiter, agent, consultant, or third party requesting payment for interviews, job offers, appointment letters, visa processing, training, relocation, documentation, background checks, or guaranteed employment.

Users should independently verify employers, recruiters, job offers, immigration requirements, licence requirements, and payment requests before taking action.

You should report suspicious job postings, messages, payment requests, or recruitment activity to MedicoTalent.

MedicoTalent does not guarantee the authenticity, legality, safety, availability, or suitability of any job opportunity, employer, recruiter, candidate, credential, visa process, licence process, or employment outcome.

9. Applications and External Links

The Platform may allow users to apply to jobs through MedicoTalent, through employer websites, through third-party application systems, or through external links.

When you click an external link or apply outside MedicoTalent, you may be subject to the terms, privacy policies, and practices of the relevant third party. We are not responsible for third-party websites, application systems, communications, forms, decisions, or data practices.

Where the mobile app opens a MedicoTalent job application page or external page, you understand that the application process may take place outside the app.

10. User Content

“User Content” includes resumes, profiles, documents, job postings, messages, descriptions, logos, images, application materials, and other content submitted, uploaded, posted, transmitted, or made available through the Platform.

You retain ownership of your User Content.

By submitting User Content, you grant Griffin Consulting Services Inc. a limited, non-exclusive, worldwide, royalty-free licence to host, store, display, transmit, process, reproduce, and share your User Content only as reasonably necessary to operate, secure, provide, administer, and improve the Platform.

This may include:

Displaying job postings to candidates;

Displaying employer names or logos where applicable;

Making candidate applications available to relevant employers where the candidate applies;

Storing resumes, profiles, job postings, and related records;

Processing support, safety, compliance, or technical requests; and

Improving Platform functionality and user experience.

We will not sell candidate resumes. We will not use candidate resumes, identity documents, or private application documents in marketing materials without separate consent.

You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate any law, third-party right, confidentiality obligation, employment obligation, intellectual property right, privacy right, or professional obligation.

11. Acceptable Use

You agree not to:

Use the Platform for unlawful, fraudulent, misleading, abusive, discriminatory, or harmful purposes;

Post fake jobs, fake profiles, fake credentials, or misleading information;

Harass, threaten, spam, or misuse other users;

Upload malware, viruses, bots, scrapers, or harmful code;

Attempt to gain unauthorised access to the Platform or user accounts;

Copy, scrape, crawl, harvest, or extract Platform data without permission;

Interfere with the security, integrity, availability, or performance of the Platform;

Use the Platform to send unsolicited marketing, spam, or unrelated commercial messages;

Misrepresent your identity, authority, qualifications, or affiliation; or

Use the Platform in a way that damages MedicoTalent, Griffin Consulting, users, employers, candidates, or third parties.

We may investigate, restrict, remove, suspend, or report activity that appears to violate these Terms or applicable law.

12. Fees, Payments, Packages, and Refunds

Certain employer services, job posting packages, promotional services, featured listings, advertising options, or other services may require payment.

Fees, package details, validity periods, and included services will be described on the relevant pricing, invoice, proposal, order form, or written agreement.

Unless expressly stated otherwise in writing, fees are non-refundable once a service has started, a job post has been published, an advertising slot has been activated, or a package has been used.

We may update pricing, packages, promotional options, or service availability from time to time.

You are responsible for applicable taxes, duties, payment charges, and compliance with local invoicing or tax requirements.

A separate Refund Policy may apply where published or agreed in writing.

13. Intellectual Property

The Platform, including its name, trademarks, logos, design, layout, content, software, code, text, graphics, user interface, and other materials, is owned by or licensed to Griffin Consulting Services Inc. or its licensors.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or exploit any part of the Platform except as permitted by these Terms or with our written consent.

Use of the Platform does not grant you ownership of any MedicoTalent or Griffin Consulting intellectual property.

14. Privacy and Data Protection

We process personal information in accordance with our Privacy Policy.

By using the Platform, you acknowledge that we may collect, use, store, disclose, and otherwise process personal information as described in the Privacy Policy.

Where required by law, we will rely on your consent or another lawful basis to process personal information.

15. Third-Party Services

The Platform may use or link to third-party services, including hosting providers, job board technology providers, analytics tools, payment processors, email providers, cloud storage providers, app stores, security tools, reCAPTCHA, employer websites, and external application systems.

We are not responsible for third-party services, websites, content, availability, terms, privacy policies, or practices. Your use of third-party services may be subject to their own terms and policies.

16. App Stores

If you download or use the MedicoTalent mobile application through the Apple App Store, Google Play, or another app distribution platform, you may also be subject to the applicable app store’s terms, policies, and rules.

Apple, Google, and other app stores are not parties to these Terms and are not responsible for the Platform, its content, support, claims, or your use of the Platform, except as required by applicable law or their own terms.

17. Availability, Updates, and Changes

We may update, modify, suspend, replace, or discontinue any part of the Platform at any time.

We do not guarantee that the Platform will always be available, uninterrupted, error-free, secure, compatible with every device, or free from technical problems.

We may issue updates to the mobile app. Some features may not work properly if you do not install the latest version.

18. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not warrant that:

Job postings are accurate, current, genuine, lawful, or available;

Employers or candidates are verified unless expressly stated;

Any candidate will be hired;

Any employer will find a suitable candidate;

Any application will be reviewed;

Any visa, licence, credential, or registration will be approved; or

The Platform will meet your expectations.

19. Limitation of Liability

To the maximum extent permitted by law, Griffin Consulting Services Inc., its directors, officers, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, revenue, data, business, goodwill, employment opportunity, or reputation.

To the maximum extent permitted by law, our total liability for any claim arising from or relating to the Platform or these Terms will be limited to the amount paid by you to us for the relevant service giving rise to the claim during the three (3) months before the claim arose, or CAD $100 if no amount was paid.

Nothing in these Terms limits liability that cannot legally be limited.

20. Indemnification

You agree to indemnify, defend, and hold harmless Griffin Consulting Services Inc., its directors, officers, employees, contractors, affiliates, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses arising from:

Your use of the Platform;

Your User Content;

Your violation of these Terms;

Your violation of applicable law;

Your infringement of third-party rights;

Your recruitment, employment, hiring, application, or candidate-related activity; or

Your misuse of another user’s information.

21. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform at any time if we believe that:

You have violated these Terms;

Your account or activity is unlawful, fraudulent, suspicious, or harmful;

Your content is inaccurate, misleading, discriminatory, or unsafe;

Your use creates risk for the Platform or other users; or

We are required to do so by law or a service provider.

You may stop using the Platform at any time. Certain provisions of these Terms will continue to apply after termination, including provisions relating to intellectual property, user content, disclaimers, liability, indemnity, dispute resolution, and governing law.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law rules.

Before starting legal proceedings, the parties agree to attempt to resolve disputes in good faith.

Subject to applicable law, the courts located in Ontario, Canada will have jurisdiction over disputes arising from or relating to these Terms or the Platform.

23. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Platform with a revised “Last Updated” date.

Your continued use of the Platform after the updated Terms are posted means you accept the updated Terms.
